Job Responsibility/Essential Functions:
Corporate Governance and Compliance:
Provide guidance on corporate governance matters, including board meetings, shareholder agreements, and legal structuring of entities.
Ensure compliance with local, national, and international laws, including financial and tax regulations.
Contract Drafting and Negotiation:
Draft, review, and negotiate a wide range of corporate contracts, including partnership agreements, vendor contracts, and service agreements.
Ensure contracts are legally sound and align with the company’s objectives.
Mergers, Acquisitions, and Transactions:
Advise on mergers, acquisitions, joint ventures, and other significant transactions.
Conduct due diligence to identify risks and ensure compliance with regulatory requirements.
Risk Management:
Identify potential legal risks and provide strategies to mitigate them.
Develop and enforce company policies to ensure regulatory compliance and minimize liabilities.
Dispute Resolution:
Manage and resolve disputes, including contract breaches and commercial conflicts.
Represent the company in legal proceedings or work with external counsel as needed.
